HOW MUCH IS BEING RAISED?

WHAT IS A LIQUIDITY EVENT AND WHEN IS IT GOING TO HAPPEN?
A liquidity event refers to the event where the company achieves a Change of Control, a Direct Listing or an Initial Public Offering, which leads to a liquidity event for the investors. At this point, investors are able to convert their ownership shares into cash or publicly traded shares. The Liquidity Capitalization is calculated as of immediately prior to the liquidity event and includes all shares of capital stock issued and outstanding, all issued and outstanding options, and converting securities, among others. The Liquidity Price is the price per share that investors receive at the time of the liquidity event.
PURU has advanced plans to list on Swiss trading platform Aktionariat.ch, which may constitute a liquidity event in the future.
WHAT IS A SAFE?
A SAFE (Simple Agreement for Future Equity) is a type of Swiss legal financing where an investor provides a funding to a company, which can later be converted into equity. A SAFE provides for the future issuance of equity. A SAFE does not involve the company taking on debt, and there is no maturity date for repayment. Instead, the investor has the opportunity to convert their investment into equity at a later time, upon the occurrence of specific events, such as a future financing round or a liquidity event. In the case of this raising, the company is using a SAFE to raise funds. The SAFE sets forth the terms and conditions of the investment. The investor provides funds to the company in exchange for the right to receive equity in the future, upon the occurrence of the specified events. The SAFE and investment is fully backed by Swiss law and the investor tickets details and contracts will be available in your account to view.
